TERMS OF SERVICE

Welcome to Blum & Co. By downloading, accessing, or using the Blum & Co. mobile application (the "App"),

you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not

use the App. These Terms apply to all users, members, and visitors of the App in any form.

Blum & Co., LLC reserves the right to update, modify, or replace these Terms at any time without prior

notice. Continued use of the App following any changes constitutes your acceptance of the revised Terms.

It is your responsibility to review these Terms periodically.

1. Eligibility and Membership

The Blum & Co. App is intended for adult men aged 18 and older. By creating an account, you represent

and warrant that you are at least 18 years of age; that you have the legal authority to enter into these Terms;

and that you are not prohibited from using the App under the laws and regulations of the United States or

of any other applicable jurisdiction.

Membership is not automatic. All applicants are subject to a vetting and approval process. Blum & Co.

reserves the right to approve, deny, suspend, or revoke any membership at its sole discretion, at any time,

for any reason, with or without notice.

You agree to provide accurate, truthful, and complete information during the application and onboarding

process. As part of onboarding, you will be required to complete a one-time identity verification using a

valid, government-issued photo ID. This verification is required to maintain the integrity and safety of the

community of Blum & Co. Members (the “Community”). Providing false, altered, or fraudulent identification

is grounds for immediate and permanent removal from the platform.

The App also offers biometric authentication, such as Face ID or fingerprint recognition, as a security

feature for accessing your account. Use of biometric features is governed by your device's operating system

and Apple's privacy policies.

2. Code of Conduct

Membership in Blum & Co. is a privilege, not a right. Members are expected to conduct themselves with

integrity, respect, and maturity at all times — both within the App and at any Events associated with the

Community.

The following behaviors are strictly prohibited and may result in immediate suspension or permanent

termination of your membership without refund:

• Harassment, bullying, hate speech, or any form of targeted aggression toward another member

• Unsolicited commercial solicitation, spam, or aggressive business pitching

• Impersonating another member, public figure, or any other individual

• Sharing, distributing, or reproducing any private content, conversations, or member information

outside of the App

the App

• Planning or engaging in any illegal, fraudulent, or manipulative activity, or for the commission or

facilitation of any illegal activity

• Any conduct that Blum & Co. determines, at its sole discretion, to be harmful to the Community or

inconsistent with its values

Blum & Co. is not obligated to monitor all content or conduct on the platform but reserves the right to

investigate and take action on any reported or observed violation of these Terms.

3. Membership Fees and Billing

Access to the Blum & Co. App requires a paid membership subscription. Current pricing is displayed within

the App and on our website at theblumandco.com. Blum & Co. reserves the right to change pricing at any

time. Price changes will not affect existing subscribers until their current billing cycle ends, at which point

the new pricing will apply unless the member cancels.

Founding member pricing, where applicable, is locked in permanently for the duration of continuous active

membership. If a founding member cancels their subscription and later resubscribes, standard pricing at

the time of resubscription will apply.

All membership fees are processed through the Apple App Store. Billing, refunds, and subscription

management are governed by Apple's terms and policies. Blum & Co. does not process payments directly

and does not issue refunds outside of Apple's standard refund policy.

Memberships automatically renew at the end of each billing period unless cancelled prior to the renewal

date. It is your responsibility to manage your subscription through your Apple ID account settings.

4. Content Ownership and License

You retain ownership of any original content you post, share, or upload within the App. By posting content,

you grant Blum & Co., LLC a non-exclusive, royalty-free, worldwide license to host, display, and distribute

that content to other members within the App solely for the purpose of operating the platform.

You represent and warrant that any content you post does not infringe upon the intellectual property rights,

privacy rights, or any other rights of any third party. You are solely responsible for the content you post.

Blum & Co. reserves the right to remove any content that violates these Terms or that it determines, at its

sole discretion, to be harmful, inappropriate, or inconsistent with the values of the Community.

5. Privacy and Confidentiality

The Blum & Co. App is intended to service a private, vetted Community. Members are expected to treat all

information shared within the App — including posts, direct messages, and personal disclosures by other

members — with discretion and confidentiality.

Sharing, screenshotting, recording, or reproducing any content or communication from within the App

outside of the platform is strictly prohibited and constitutes a material breach of these Terms.

6. In-Person Events

Blum & Co. may organize or facilitate in-person events, meetups, and gatherings for its members (each an

“Event”). Attendance at any such Event is voluntary and at your own risk. Blum & Co. is not responsible for

any injury, loss, damage, or harm that occurs in connection with your attendance at, travel to and from, or

participation in any eEvent.

All Events are subject to their own rules and expectations consistent with the Code of Conduct outlined in

these Terms. Conduct violations at Events may result in removal from the Event , restriction of access to

the App, and termination of Blum & Co. membership.

7. Termination

Blum & Co. reserves the right to suspend or terminate your account and access to the App at any time, for

any reason, at its sole discretion, with or without notice. Reasons for termination include but are not limited

to violations of these Terms, conduct unbecoming of a member, or actions deemed harmful to the

Community or the company.

Upon termination, your right to access the App ceases immediately. No refund of any prepaid or unused

subscription fees will be issued in the event of termination for cause. You may request a refund through

Apple for terminations not related to conduct violations, subject to Apple's refund policy.

You may cancel your membership at any time through your Apple ID account settings. Cancellation takes

effect at the end of the current billing period.

8. Limitation of Liability

Blum & Co., LLC provides the App and its Community platform on an "as is" and "as available" basis. We

make no warranties of any kind, express or implied, including as to any warranty regarding the reliability,

availability, accuracy, or fitness for a particular purpose of the App or its content.

Without limitation to the foregoing, neither Blum & Co. nor anyone affiliated with it represents or warrants

that any of the services and content made available by Blum & Co. (including through the App) will be

accurate, reliable, error-free, or uninterrupted; that the services and content are free of viruses or other

harmful components; or that the services and content will meet your needs or expectation. Your sole

remedy for any dissatisfaction with the App, the Community, or any content provided thereby is to stop

using the App and to terminate your Membership with Blum & Co. You acknowledge that, upon conclusion

or termination of your Membership with Blum & Co., any and all content or other data input, submitted, or

otherwise provided to or by you through the App may be deleted and destroyed and that copies of such

information may not be available to share with you.

To the fullest extent permitted by applicable law, Blum & Co., LLC, its officers, directors, employees,

contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive

damages arising out of or related to your use of or inability to use the App, any interactions with any third

party through or in connection with the App or the Community (including as to any other Member), any

Event, or any content posted within the platform.

In no event shall our total liability to you for any claims arising from your use of the App, any interactions

with any third party through or in connection with the App or the Community (including as to any other

Member), any Event, or any content posted within the platform exceed the lesser of either (i) the total

Blum & Co., LLC | theblumandco.com | Page 3amount of membership fees actually paid by you to Blum & Co. in the twelve months preceding the claim

or (ii) US$100.00.

9. Indemnification

You agree to indemnify, defend, and hold harmless Blum & Co., LLC and its officers, directors, employees,

contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and

expenses (including reasonable legal fees) arising out of or related to your use of the App, any interactions

with any third party through or in connection with the App or the Community, any Event, any content posted

within the platform, your violation of these Terms, your violation of any intellectual property or other rights

of any person or entity, or any content you post within the platform.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Indiana,

without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms

shall be subject to the exclusive jurisdiction of the courts located in the State of Indiana.
